Start-up & Virtual CFO Services

The finance function an early-stage company needs, before it can justify building one in-house.

Discuss your requirements ↗

THE PRINCIPLE BEHIND OUR WORK

Founders are told to “stay compliant”. That framing is backwards. Compliance is a by-product of a finance function that records reality accurately and on time. Build the record correctly and compliance is nearly automatic; treat compliance as a separate exercise performed near a deadline and both the record and the compliance will be wrong.

OUR APPROACH

Clear thinking.
Considered advice.

An early-stage company does not need a finance department. It needs the judgement a finance department is supposed to supply — about cash, about controls, about what an investor will ask — available at the moment a decision is being made.

We take responsibility for the finance function as a whole rather than for isolated filings. That includes the chart of accounts, the monthly close, the controls around cash and payroll, and the reporting the board and investors actually read.

We are explicit about the stage-appropriate answer. A seed-stage company needs a reliable close, a clean cap table and a cash runway it trusts. It does not need a transfer pricing policy or a five-year budget variance framework, and we will say so.

We work to the founders’ operating rhythm — a monthly reporting pack, a standing review, and availability between reviews when a decision cannot wait for the calendar.

WHAT WE DO

The substance
of the work.

The finance function an early-stage company needs, before it can justify building one in-house.

Incorporation and entity set-up

Choice of jurisdiction and vehicle, incorporation, statutory registrations, and the founding documents — including founder vesting and share subscription terms — that later rounds will be built on.

Virtual CFO engagement

Ongoing ownership of accounting, monthly and annual close, management reporting, budgeting, cash-flow forecasting, and finance representation in board and investor discussions.

Fundraising support

Data room preparation, financial models and metric definitions, cap table and dilution analysis, support through investor diligence, and review of term sheet and transaction document economics.

Cap table, ESOP and equity administration

ESOP scheme design and documentation, grant and vesting administration, valuation support for perquisite and Section 17(2) purposes, and cap table maintenance through each round.

Foreign investment and cross-border compliance

FDI structuring under FEMA, pricing guidelines, Form FC-GPR and FC-TRS filings, ODI reporting, and the ongoing compliance calendar for companies with overseas shareholders or subsidiaries.

Controls, systems and process design

Accounting system selection and implementation, approval and payment workflows, revenue recognition policy, expense and payroll process, and the segregation of duties a growing team needs.

WHO WE HELP

Is this the right
support for you?

  • Founders at incorporation who want the foundation set correctly the first time
  • Funded companies without a full-time CFO but with board and investor reporting obligations
  • Companies preparing for a priced round, where diligence readiness determines the timetable
  • Global companies establishing an Indian entity and needing a resident finance function

QUESTIONS WE ARE ASKED

Start with the decision
in front of you.

  • What does our runway actually look like, on assumptions we can defend?
  • Are we ready for an investor to open our books?
  • How should we design our ESOP so it motivates without creating tax surprises?
  • Which compliances genuinely apply to us at this stage, and which do not?
